         State below in reasonable detail the reasons why Forms 10-K, 10-KSB,
11-K, 10-Q, 10-QSB,  N-SAR, or the transition report, or portion thereof, could
not be filed within the prescribed time period.  (Attach Extra Sheets if Needed)

         Consolidated  Delivery & Logistics,  Inc. (the  "Company") is unable to
file its quarterly report on Form 10-Q for the period ended June 30, 1996 within
the time  period  prescribed  for such  report  without  unreasonable  effort or
expense.  In response  to a comment  letter  from the  Division  of  Corporation
Finance of the  Securities  and  Exchange  Commission,  dated July 29, 1996 (the
"Comment  Letter"),  the Company is currently  preparing  amendments to both its
annual  report  on Form  10-K  for the  year  ended  December  31,  1995 and its
quarterly  report on Form 10-Q for the period  ended March 31,  1996.  The Staff
requested  that those  amendments  be filed by August 15, 1996 and the Company's
staff is fully occupied in endeavoring to meet that deadline. In addition, since
certain of the  revisions  addressed in the Comment  Letter must be reflected in
all future  reports of the Company,  the Company  needs to clear the  amendments
with the Staff before  filing its  quarterly  report on Form 10-Q for the period
ended June 30, 1996 so that appropriate disclosure is made.

     Commission files.
