CD&L, Inc. (the "Company") is unable to file its quarterly report on
Form 10-Q for the period ended September 30, 2000 within the time period
prescribed for such report without unreasonable effort or expense. The Company
is currently in negotiations with its lenders for modifications to its existing
credit facilities. The Company expects to have finalized documents within the
timeframe granted for filing the Company's report on Form 10-Q by Rule
12b-25(b).
