Explanation of Responses:
1. Shares sold were acquired pursuant to exercise of options on January 31,
2000.  The Reporting Person continues to have options in respect of
466,668 shares of Class A Common Stock (after accounting for the stock split in
June 1999).  Such options were previously reported on prior forms.
