1. Stock Units granted pursuant to Fiscal 1999 Share Incentive
Plan.
2. The Stock Units will be paid out in shares at a time to be determined by the
Company, but in no event later than ninety days of the Reporting
Person's termination of employment.
3. No later than ninety days of the Reporting Person's termination of
employment.
4. Represents reinvestment of dividend equivalents on outstanding Stock
Units.
5. Total includes 35 shares that were inadvertently omitted from the number of
dividend equivalent shares acquired 4/4/2000 (the 130 shares that
were reported should have been
165).
