PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 
N-SAR, or the transition report or portion thereof, could not be filed within 
the prescribed time period.

The Registrant could not file its quarterly report on Form 10-QSB by the 
deadline of November 16, 1998 because the Registrant has not yet been able
to fill the vacancy created by the resignation of the Registrant's Chief 
Financial Officer in August 1998, resulting in a delay in the preparation 
of its financial statements.  The Registrant expects to complete the pre-
paration of the financial statements required to be filed as part of the 
Form 10-QSB shortly and the Form 10-QSB will be filed no later than November 
19, 1998 as required by Rule 12b-25.

(3) Is it anticipated that any significant change in results of operations from 
    the corresponding period for the last fiscal year will be reflected by the
    earnings statements to be included in the subject report or portion 
    thereof?

         The Registrant expects to report a sales decline of approximately
    12% for the quarter ended September 30, 1998 as compared to the 
    corresponding quarter in 1997, due to reduced wholesale sales, partially
    offset by increases in retail sales and craft fair sales.  Primarily as 
    a result of this sales decline and an approximate 6% increase in 
    operating expenses as compared to 1997, the Registrant expects to 
    report a net loss for the quarter ended September 30, 1998 of similar
    magnitude to the loss reported for the quarter ended June 30, 1998, as 
    compared to net income of approximately $70,000 for the three months 
    ended September 30, 1997.
