Explanation of Responses:
Note 1 - The Warrants were issued in consideration for the agreement of
Saratoga Partners IV, L.P., Saratoga Management Company, LLC and
Saratoga Coinvestment IV LLC, to modifications to a Series B
Preferred Stock Purchase Agreement dated December 10, 1999.
Note 2 - Saratoga Management Company LLC may be deemed to have indirect
beneficial ownership of (i) 937,500 Warrants as Manager of Saratoga
Associates IV LLC which is the General Partner of Saratoga
Partners IV, L.P. which directly owns (ii) 25,000 Warrants as
Managing Member of Saratoga Coinvestment IV LLC which directly owns
25,000 Warrants and (iii) 37,500 Warrants as agent and attorney-in-fact
for 37,500 Warrants beneficially owned by John P. Birkelund, Bret E.
Russell, Charles P. Durkin, Jr., David W. Niemiec and
Christian L. Oberbeck.
