Explanation of Responses:
Note 1 - The Warrants were issued in consideration for the agreement of
Saratoga Partners IV, L.P., Saratoga Management Company LLC and
Saratoga Coinvestment IV LLC, to modifications to a Series B
Preferred Stock Purchase Agreement dated December 10, 1999.
Note 2 - As to 986,633 Warrants, Charles Durkin may be deemed to have indirect
beneficial ownership, through his positions as Member and Executive
Member of Saratoga Management Company LLC. He may be deemed to have
direct beneficial ownership of 13,367 Warrants.
