State below in reasonable detail the reasons why Forms 10-K, 11-K, 10-Q, N-SAR,
or the transition report or portion thereof, could not be filed within the
prescribed time period.

    Registrant is unable to complete its financial statements in time to file by
    the August 14, 1998 filing date. The delay in completing the financial
    statements is due to the involvement of key personnel in the preparation of
    documents related to a major acquisition which must be completed to meet
    contractual obligations.

                  The net loss for the six months ended June 30, 1998 decreased
$396,626 from the net loss for the comparable 1997 period. This decrease is
attributable to the following:

                  - The 1998 period includes gross income from the operation of
the Kansas Properties of $295,000 not contained in the 1997 period.

                  - Interest expense and amortization of loan costs decreased
$574,153 in the 1998 period due to no charges during this period from imputed
interest for stock warrants and the conversion of debt to equity. Charges for
this interest was $584,527 during the 1997 period.

                  - Depletion, depreciation and amortization increased $207,000
for the 1998 period due to recognition in 1998 of depletion attributable to the
Kansas Properties.

                  - General and administrative costs increased for the 1998
period.
