Ladies and Gentlemen:

         On April 17, 1996, Stratcomm Media Ltd., a corporation formed under the
laws of the Province of British Columbia (the "Company"), filed the
above-referenced registration statement on Form 10-SB (the "Registration
Statement") with the Securities and Exchange Commission (the "Commission"). The
Company received comments from the Commission staff by letter dated May 30,
1996, which was approximately two weeks prior to such time as the Registration
Statement was to automatically become effective pursuant to Section 12(g) of the
Securities Exchange Act of 1934, as amended (the "Effective Date"). As was
suggested by the staff, the Company and its accountants cannot address the
staff's comments to the audited financial statements for the fiscal year ended
March 31, 1995, and related comments prior to the Effective Date. Moreover, the
Company has retained BDO Seidman to prepare audited financial statements for the
fiscal year ended March 31, 1996, and such financial statements will not be
complete prior to the Effective Date. Accordingly, the Company hereby withdraws
its Registration Statement.

         The Company anticipates filing a new registration statement on Form
10-SB addressing the staff's comments as soon as practicable after completion of
the audited financial statements for the fiscal year ended March 31, 1996. The
Company has been advised by the staff that if a new registration statement is
filed within a reasonable period of time hereafter, the staff will review such
registration statement on an expedited basis.
