The statement on Schedule 13D previously filed by Daniel R. Tisch,
Thomas J. Tisch, Andrew H. Tisch and James S. Tisch (the "Reporting Persons")
with respect to the Common Stock, no par value (the "Common Stock"), of Castle &
Cooke, Inc. (the "Issuer") is hereby amended and supplemented to reflect the
disposition by the Reporting Persons of all of their holdings of Common Stock of
the Issuer and the termination of their obligation to file further reports with
respect to the Issuer.

The Reporting Persons tendered 1,700,300 shares of Common Stock to
Flexi-Van Leasing, Inc. on July 14, 2000. Flexi-Van Leasing, Inc. announced on
July 15, 2000 that it had purchased all shares tendered to it at $19.25 per
share.
