     This Schedule 13G (the "Schedule 13G") is being filed on behalf of
Blavin & Company, Inc., a Delaware corporation ("BCI"), and Mr. Paul W.
Blavin, the principal of BCI, relating to shares of common stock of
Highlands Insurance Group, Inc. (the "Issuer").

     This Schedule 13G related to shares of Common Stock of the Issuer
purchased by BCI for the account of four institutional clients
for which BCI acts as investment advisor.

     In accordance with Rule 13d-1(k)(1) under the Securities Exchange Act
of 1934, as amended, the undersigned agree to the joint filing on behalf of
each of them of a Statement on Schedule 13G (including any and all
amendments thereto) with respect to the Common Stock, par value $0.01 per
share, of Highlands Insurance Group, Inc., a Delaware corporation, and
