PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q, N-
SAR, or the transition report or portion thereof, could not be filed within the
prescribed time period. (Attach Extra Sheets if Needed).
The Company will be unable to file its Form 10-Q for the quarter ended
March 31, 1997 by the required due date as a result of the substantial time
which has been devoted to two transactions which the Company is attempting to
finalize. The redomestication and concurrent sale of the Company s North
Carolina-domiciled insurance subsidiary is expected to be completed in June
1997. The planned merger of the Company with a subsidiary of LaSalle Group,
Inc. has also required significant time due to delays by LaSalle in providing
appropriate evidence of funding to state insurance regulators.
