State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q, N-
SAR, or the transition report or portion thereof, could not be filed within the
prescribed time period. (Attach Extra Sheets if Needed).
The Company will be unable to file its Form 10-Q for the quarter ended March 31,
1998 as a result of the time required to complete the closing of the sale of
the Company s credit insurance business and customer accounts, which occurred
on May 13, 1998. Completion of the Form 10-Q by the original due date has been
further restricted by the reduction in the number of Company employees to six
as of May 8, 1998.

In 1997, the Company reported a first quarter loss from continuing
operations of $138,000 and a loss from discontinued operations of
$472,000, resulting in a reported net loss of $610,000. For the first
quarter of 1998, the Company expects to report a similar loss from
continuing operations but anticipates that its income from discontinued
operations will be between $100,000 and $150,000.
