PART III -- NARRATIVE
State below in reasonable detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR, or the transition report or portion thereof, could not
be filed within the prescribed time period. (ATTACH EXTRA SHEETS IF NEEDED.)
The Company is unable to file its Annual Report on Form 10K in a timely manner due to several extraordinary financial
events which require prepartion of special disclosures. These events include the following:
o On January 15, 1999, the Board of Directors of Augment Systems, Inc. decided to suspend its current operations, incur
over a 90% reduction in its work force and move to smaller office space. By the end of February 1999, the transition was
completed. Unfortunately, the Company's independent auditors could not begin work until the Company's records were
available for review. The auditors began their field work in March and will be completing the audit by the end of March
1999. The Company intends to file its 10-K within 15 days from the end of March.
