          This Statement constitutes Amendment No. 17 to the Statement on
Schedule 14D-1, dated March 9, 1994, as amended, filed by WLR Acquisition
Corp., a Delaware corporation (the "Purchaser"), and a wholly-owned subsidiary
of Tyson Foods, Inc., a Delaware corporation ("Tyson"), and Tyson, relating to
the offer by the Purchaser to purchase all outstanding shares of Common Stock,
no par value (the "Shares"), of WLR Foods, Inc., a Virginia corporation (the
"Company"), at a price of $30.00 per share, net to the seller in cash, upon the
terms and subject to the conditions set forth in the Offer to Purchase, dated
March 9, 1994 (the "Offer to Purchase") and in the related Letter of
Transmittal.


          This Statement also constitutes Amendment No. 18 to the Statement on
Schedule 13D, dated March 4, 1994, as amended, filed by the Purchaser, Tyson,
Tyson Limited Partnership and Mr. Don Tyson, relating to their beneficial
ownership of Shares.


   

     1. Item 5 is hereby amended to add the following:
    

   

     On May 21, 1994, the Company held a special meeting of its shareholders
under the Virginia Control Share Act to consider a proposal to grant full
voting rights to Shares acquired by the Purchaser, Tyson and their associates
pursuant to, or in contemplation of, the Offer. Preliminary tallies of the
votes cast at the special meeting indicate that the proposal failed to receive
the number of affirmative votes necessary to adopt the proposal.
    

   

     Tyson believes there were at least 15.7% or more of WLR's approximately
10.9 million outstanding Shares voted at the May 21 special meeting
against the proposal which were ineligible to be voted at the special
meeting under Virginia law because such Shares were controlled by officers and
directors of the Company, their immediate families and associates. Tyson
believes that the voting of these Shares at the May 21 special meeting
significantly affected the results of the voting. In Tyson's view, the
exercise of voting rights for such a large number of Shares - that should have
been ineligible to vote - created the illusion that rejection of Tyson's
proposal at the special meeting was inevitable, and thus coerced others
(particularly those with ongoing business relationships with the Company, such
as growers) to vote for the perceived winner rather than risk censure for
disloyalty.
    

   

     Tyson has challenged the preliminary results of the voting at the May 21
special meeting, and is currently seeking a ruling from the District Court in
the Virginia Action on precisely which officers and directors of the Company
and their associates are ineligible to vote at any meeting called under the
Virginia Control Share Act because the Shares held by them are "interested
shares" under that Act. A hearing on this issue and others raised in Tyson's
counterclaims was held by the District Court on May 26, 1994. The District
Court also set a hearing date of July 7, 1994, to consider Tyson's claims
that the entire Virginia antitakeover statutory scheme is unconstitutional.
    

   

     In the event of a favorable judicial determination in the matters before
the court, Tyson would consider amending its existing $30 cash per share offer
to offer shareholders the opportunity to exchange their Shares for shares of
Tyson stock.
    

   

     Tyson believes that any such amendment to its outstanding offer would
entitle Tyson to request a new meeting of the Company's shareholders under the
Virginia Control Share Act to enable shareholders to vote on whether to grant
full voting rights to Shares acquired by the Purchaser, Tyson and their
associates pursuant to, or in contemplation of, such an amended offer.
