PART III -- NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K,
10-Q, N-SAR, or the transition report or portion thereof, could not be
filed within the prescribed time period.

One of the Company's computer servers, which is key to the preparation of
financial statements, went out of service on November 2, 2000. Attempts
were made to restore the server, but they failed, and the server had to be
rebuilt, and the files restored from backup files. The process of
rebuilding the server and restoring the files was completed on November 11,
2000. The server that went out of service contains the consolidation, the
consolidated financial statements, and the schedules needed to prepare a
quarterly report on Form 10Q. In addition the server contains a significant
amount of other financial analysis used in the preparation of the Company's
financial statements and notes thereto. The Company is diligently working
on the preparation of its quarterly report on Form 10Q for the quarter
ended September 30, 2000. However, as a result of the delay arising from
the problems with the computer server, the Company is unable, without
unreasonable effort or expense, to file its Report on Form 10Q for the
quarter ended September 30, 2000 by November 14, 2000.

The Company continues to experience significant declines in revenue as
compared to the prior year. Revenue for the quarter ended September 30,
2000 is expected to be approximately $65,000,000 as compared to $170,061,000
for the quarter ended September 30, 1999. The Company expects to report a net
loss for the quarter ended September 30, 2000. As a result of the computer
problems described above, the Registrant is unable to give any further
quantitative estimate of its results for the quarter ended September 30,
2000 at this time.

                            GENERAL INSTRUCTIONS

1.      This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the
        General Rules and Regulations under the Securities Exchange Act of
        1934.

2.      One signed original and four conformed copies of this form and
        amendments thereto must be completed and filed with the Securities
        and Exchange Commission, Washington D.C. 20549, in accordance with
        Rule 0-3 of the General Rules and Regulations under the Act. The
        information contained in or filed with the form will be made a
        matter of public record in the Commission files.

3.      A manually signed copy of the form and amendments thereto shall be
        filed with each national securities exchange on which any class of
        securities of the registrant is registered.
