Explanation of Responses:
(01) Options to purchase 80,566 shares were exercised by delivery of 60,000 shares. Upon exercise, the holder was granted res
toration options to purchase 60,000 shares under the 1994 Stock Option & Performance Incentive Plan. As a condition
of such grant, 20,566 shares out of the 80,566 shares deliverable upon such exercise were placed into a trust establ
ished by the Issuer. The shares placed in trust will not vest until 4.5 years from the exercisable date of the original
option.
(02) Shares held in trust established by the Issuer pursuant to the Toys "R" Us, Inc. Partnership Group Deferred Compensation
Plan. Includes 29,358 shares which are subject to forfeiture under certain conditions.
