Explanation of Responses:
(01) Options to purchase 24,416 shares were exercised by delivery of 14,651 shares. Upon exercise, the holder was granted res
toration options to purchase 14,765 shares under the 1994 Stock Option & Performance Incentive plan. As a condition
of such grant, 9,651 shares out of the 24,416 shares deliverable upon such exercise were placed into a trust establ
ished by the Issuer. In addition, 114 shares were used to pay the tax withholding associated with the foregoing
exercise.
(02) Shares held in trust established by the Issuer pursuant to the Toys "R" Us, Inc. Partnership Group Deferred Compensation
Plan. Includes 1,891 shares which are subject to forfeiture under certain conditions.
(03) Such options are subject to forfeiture, after the date exercisable, under certain conditions.
