Explanation of Responses:
(01) Options to purchase 174,512 shares were exercised by delivery of 127,714 shares. Upon exercise, the holder was granted r
estoration options to purchase 128,393 shares under the 1994 Stock Option & Performance Incentive Plan. As a condition
of such grant, 46,119 shares out of the 174,512 shares deliverable upon such exercise were placed into a trust establ
ished by the Issuer. In addition, 679 shares were used to pay the tax withholding associated with the foregoing
exercise.
(02) Shares beneficially owned by my minor children. I disclaim beneficial ownership of such shares.
(03) Shares held in trust established by the Issuer pursuant to the Toys "R" Us, Inc. Partnership Group Deferred Compensation
Plan. Includes 33,211 shares which are subject to forfeiture under certain conditions.
