Explanation of Responses:
(01) Options to purchase 99,761 shares were exercised by delivery of 73,009 shares. Upon exercise, the holder was granted res
toration options to purchase 73,397 shares under the 1994 Stock Option & Performance Incentive Plan. As a condition
of such grant, 26,365 shares out of the 99,761 shares deliverable upon such exercise were placed into a trust establ
ished by the Issuer. In addition, 388 shares were used to pay the tax withholding associated with the foregoing exercise
(02) Shares held in trust established by the Issuer pursuant to the Toys "R" Us, Inc. Partnership Group Deferred Compensation
