Explanation of Responses:
(01) Includes the receipt of 200,000 Stock Units, granted pursuant to the terms and conditions of my Stock Unit Agreement. Ea
ch Stock Unit is equivalent to one shareof Common Stock subject to satifying various vesting, employment and non-compete
requirements as set forth in my Retention Agreement. In connection with the termination of employment on March 26, 1
999, 160,000 Stock Units were forfeited.
(02) I am custodian to the shares acquired by my son. I disclaim beneficial ownership of such shares.
(03) Such options are subject to forfeiture, after the date exercisable, under certain conditions.
(04) Options to purchase 240,000 shares were forfeited in connection with the termination of employment on March 26, 1999.
(05) Options to purchase 480,000 shares were forfeited in connection with the termination of employment on March 26, 1999.
