Explanation of Responses:
*All options become exercisable over either a four or five year period and are
subject to the terms and provisions of the 1996 Stock Incentive Plan of
CSG Systems International,
Inc.
**The shares reported in Table I which were acquired on March 5, 1999, were
received in payment of a 100% stock dividend. The options reported
in Table II have been increased by 100% from the reporting person's previous
report under Section 16(a) of the Exchange Act to reflect an adjustment
resulting from such 100% stock
dividend.
