PART III - NARRATIVE

State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof could not be filed within the
prescribed time period. (Attach Extra Sheets if Needed)

The Registrant was unable to file its Quarterly Report on Form 10-Q for the
fiscal quarter ended May 2, 1999 by the prescribed June 16, 1999 due date
without undue effort or expense due to the fact that the Company has not yet
completed the process of collecting and documenting all information necessary to
draft and issue a complete and accurate Quarterly Report. The Registrant expects
to finalize this process shortly and plans to file its Form 10-Q on or before
the fifth calendar day following the prescribed due date.

          The results for the quarter ended May 2, 1999 are not yet finalized
          for the reasons previously discussed. However, it is estimated that
          the Registrant will report a pretax loss of approximately $3.0 million
          dollars.

Washington, D.C. 20549, in accordance with Rule 0-3 of the General Rules and
Regulations under the Act. The information contained in or filed with the Form
will be made a matter of public record in the Commission files.

3. A manually signed copy of the form and amendments thereto shall be filed with
each national securities exchange on which any class of securities of the
registrant is registered.
