                               Part III. Narrative

          The management of PICK Communications Corp. has been involved in
financing transactions which has taken up all of the management's time,
therefore, the Company needs more time to properly complete its Form 10-Q for
the quarter ended March 31, 1999.

         (3) Is it anticipated that any significant change in results of
operations from the corresponding period for the last fiscal year will be
reflected by the earnings statements to be included in the subject report or
portion thereof?

         If so: attach an explanation of the anticipated change, both
narratively and quantitatively, and, if appropriate, state the reasons why a
reasonable estimate of the results cannot be made.

         Although quarterly results of operations are not yet available, the
Company expects to report revenues of approximately $4 million for the first
quarter of 1999 as compared to $0.5 million for the first quarter of 1998, with
an anticipated loss of up to approximately $4 million for the first quarter of
1999, as opposed to $1 million for the first quarter of 1998. The increased
sales resulted from an increase in the prepaid calling card and wholesale
telephone carrier businesses. The loss resulted primarily from increased
staffing and facilities for the expanding wholesale telephone carrier business
and the development stage business of PICK Sat Inc., a subsidiary of the
Company, which recently commenced providing satellite delivered, high speed
broadband Internet access. The prepaid calling card business operated with
negative gross margins.
