The Company was delayed in preparation of its Annual Report on Form
10-KSB due to management's diversion relating to the recently completed
merger with Advanced Visual Systems Inc. and the combination of
operations and personnel in connection therewith. Accordingly, the
Company has also been delayed in completion of audited financial
information.
