Explanation of Responses:
(1) Granted pursuant to the terms of the Company's 1996 Performance Equity
Plan, which provides that options to purchase 2,000 shares of Common
Stock are to be granted on March 31st of each year to directors of the Company
with an exercise price equal to the market price of a share of
Common Stock on the last trading day immediately preceding the date of
grant.
