As a result of unexpected delays in gathering the data necessary to
finalize the financial statements and accompanying notes of the Registrant's
Form 10-Q, the report on Form 10-Q could not be timely filed without
unreasonable effort or expense.

Results of operations for the fiscal quarter ended September 30, 2000 are
significantly lower than the same period in 1999 primarily due to recognition of
a $5.5 million write-down in connection with the Company's previously announced
closure of manufacturing facilities, as well as $3.1 million lower operating
income resulting from increased operating costs and more competitive sales
discounts and rebates. In addition to the above, the Company expects to record
material unfavorable adjustments stemming from an ongoing review of certain
inventory and rebate-related liability balances.
