(01) Includes an award on August 10, 1998 of 10,000 shares of restricted stock under the Tupperware Corporation 1996 Incentiv
e Plan, exempt under Rule 16-b3, and includes stock withholding rights. Restrictions will lapse at one-half after on

(02) Payment of tax liability by delivering or withholding securities incident to vesting of a security issued in accordance
