Explanation of Responses:

(1) The 25,000 options previously granted on 9/30/97 at $2.50 per share
exercisable at 20% per year beginning 9/30/98 and the 100,000 options
previously granted on 6/28/95 at $2.45 per share exercisable at 20% per
year commencing 6/28/96 have been modified effective 8/25/97 in the
following respects: (a) such options are immediately fully vested, (b) such
options are exercisable at an exercise price of $1.81 per share, and, as a
result of such modifications, of the total 125,000 options, 55,248 shall
constitute incentive stock options and the remaining 69,752 options shall
constitute non-qualified stock options.
