Registrant has encountered delays in completing its Quarterly Report on Form 10-QSB for the quarter ended March
31,2000 because the personnel primarily responsible for preparing Registrant's Quarterly Report on Form 10-QSB were
unable to complete the Quarterly Report on Form 10-QSB by May 15, 2000, because Registrant has a temporary staff
shortage and the personnel that were available had to devote their time to the current business activities of
Registrant rather than to completing the Quarterly Report on Form 10-QSB.

For the quarter ended March 31, 2000, Registrant incurred a net loss from operations of approximately $695 thousand
on revenues of approximately $938 million. For the quarter ended March 31, 1999 Registrant incurred a net loss of
$4.305 million on revenues of $1.236 million. The primary reason for the change in Registrant' revenues resulted
from decreased license fee and maintenance revenues. The primary reason for the decrease in the net loss was the
decrease in non-cash financing costs associated with the 1998 and 1999 financing agreements.
