Registrant has encountered delays in completing its Quarterly Report on Form 10-QSB for the quarter
ended September 30, 2000 because Registrant is finalizing negotiations relating to financing
arrangements, which may have a material impact on the disclosures in the financial statements.

For the three months ended September 30, 2000, Registrant incurred a net loss from operations of
approximately $526 thousand on revenues of approximately $1.379 million. For the three months ended
September 30, 1999, Registrant incurred a net loss of $1.392 million on revenues of $932 thousand.
The primary reason for the change in Registrant's revenues resulted from increased software sales
and consulting revenues.
For the nine months ended September 30, 2000, Registrant incurred a net loss of approximately $2.279
million compared to a net loss of $6.408 million for the nine months ended September 30, 1999. The
primary reason for the decrease in the net loss is reduced financing costs.
