N-SAR, or the transition report or portion thereof, could not be filed within

     The Company was delayed in transmission of its Annual Report on Form 10-KSB
     due to transmission congestion and was not received by the Commission 
     until after 5:33 PM on March 31, 1998. Accordingly, this Notification of 
     Late Filing is being submitted to preserve the timeliness of the filing 
     of the Annual Report on Form 10-KSB.
