The  Company  was  unable to prepare  the Form  10-KSB  due to  information  not
available at the time of filing and the  Company's  recently  completed  initial
public offering.

     (3) Is it anticipated that any significant  change in results of operations
from the corresponding  period for the last fiscal year will be reflected by the
earning statements to be included in the subject report or portion thereof?

The  Company  anticipates  that  it  will  incur  a net  loss  of  approximately
$7,500,000  for the year ended  December  31, 1996,  which is  primarily  due to
non-cash expenses of approximately $3,500,000, an increase in mark-downs,  lower
margins, the decline in the Italian lira, lower initial margins on a new product
line, increased freight and manufacturing costs and increased interest expenses.
