ITEM 5. On February 3, 1994, UAL Corporation (the
"Company"), Registrant's parent company,
and Air Line Pilots Association,
International UAL-MEC ("ALPA") and the
International Association of Machinists
and Aerospace Workers ("IAM") entered into
an amendment (the "Amendment") to the
letter agreement, dated December 22, 1993
(the "Letter Agreement"), by and among the
Company, ALPA and the IAM. A copy of the
Letter Agreement was attached as Exhibit
10.1 to the Registrant's Current Report on
Form 8-K, dated December 22, 1993, and a
copy of the Amendment was attached as
Exhibit 10.1 to the Company's Current
Report on Form 8-K, dated February 3, 1994
and is incorporated herein as an exhibit.
