Item 1. Security and Issuer
This Schedule 13D relates to the no par value per share common stock
("Common Stock") of ImageMatrix Corporation, a Colorado corporation (the
"Company"), whose principal executive offices are located at 400 South Colorado
Boulevard, Suite 500, Denver, Colorado 80222.
Item 2. Identity and Background
The person filing this statement is K.D. Heidrich, whose address is 1113
Spruce Street, Ste. 400, Boulder, Colorado 80302. Mr. Heidrich's principal
occupation is as Managing Director of Opus Capital, Inc., 1113 Spruce Street,
Ste. 400, Boulder, Colorado 80302.
Mr. Heidrich has not, during the last five years, been convicted in a
criminal proceeding (excluding traffic violations or similar misdemeanors), or
been a party to a civil proceeding of a judicial or administrative body of
competent jurisdiction and as a result of such proceeding been subject to a
judgment, decree or final order enjoining future violations of or prohibiting or
mandating activities subject to, federal or state securities laws or finding any
violation with respect to such laws. Mr. Heidrich is a German citizen.
Item 3. Source and Amount of Funds or Other Consideration.
179,025 shares beneficially owned by Mr. Heidrich are options exercisable
within 60 days to purchase 179,025 shares, held by Opus Capital, Inc. ("Opus"),
of which Mr. Heidrich is a 50% shareholder. 27 shares beneficially owned by Mr.
Heidrich are held by Opus. The options and shares held by Opus are also
attributed to Daryl F. Yurek, a 50% shareholder of Opus. The source of funds
for Opus's investment was working capital, and the amount of such funds was $7.
The source of funds for 102,417 shares held by Mr. Heidrich is from personal
funds, and the amount of such funds was $26,628.
Item 4. Purpose of Transaction.
Mr. Heidrich acquired the Common Stock for long-term investment purposes.
