ITEM 5. Other Events.
The Company announces that its web procurement business-to-business
subsidiary, SupplyAccess, Inc., recently completed a supplemental private
placement of Series A preferred stock in the gross amount of $7.6 million. Such
funding resulted in the sale of 5.1 million shares of preferred stock at $1.50
per share, representing 16.3% of the total 31.1 million shares of outstanding
stock. With the conclusion of this sale, the Company's ownership in
SupplyAccess, Inc. is 45.1%.
