                                    NARRATIVE

State below in reasonable detail the reasons why Form 10-K, 10-KSB, 11-K, 20-F,
10-Q, 10-QSB, N-SAR or the transition report portion thereof could not be filed
within the prescribed time period. (Attach extra sheets if needed.)

         On March 28, 2000, a tornado accompanied by a series of severe
thunderstorms touched down in downtown Fort Worth, Texas, where the Company's
principal executive offices are located. The storm caused significant damage to
several downtown buildings, including the building where the Company's principal
executive offices are located. As a result of the tornado damage, the
Registrant was unable to occupy the building until April 17, 2000. As a result,
the registrant is unable to prepare all of the materials required in order to
permit an accurate and complete filing of the registrant's quarterly report on
Form 10-Q for the quarter ended March 31, 2000, on a timely basis, without
unreasonable effort and expense. The registrant will file its Form 10-Q no
later than the fifth day after the prescribed due date of the Form 10-Q.
