ML Direct Inc. is unable to file the Form 10-KSB on the due date February 28,
1997 due to the fact that the audit of the Company's financial statements was
delayed as a result of a change in auditors from Moore Stephens to Deloitte &
Touche.

operations when compared to the period June 22, 1995 (inception date) to
November 30, 1995 for the following reasons:
a) There were only five and a half months of operations in fiscal year
1995
b) Key executives were not hired until April 1996
c) Initial Public Offering in Fiscal 1996
