The Company is waiting on its litigation counsel for a description of the
legal proceedings and therefore the Company can not file its Form 10-KSB on
time without unreasonable effort or expense.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
The Company expects to report a net loss of approximately $386,500 for the
year ended December 31, 1999, as compared to a net loss of $868,125 during the
prior year. The reduced net loss is primarily a result of research and
development revenues received by the Company under contracts entered into
during 1999.
