Explanation of Responses:
(1) These 294,500 shares of Common Stock of UGLY were tendered by the Reporting
Person in the exchange offer of UGLY commenced on February 22, 2000 and
expiring April 13, 2000. The Reporting Person tendered 294,500 shares of
common stock and received $3,239,500 aggregate principal amount of 11%
Subordinated Debentures due 2007 of UGLY. The acquistion of such shares by
UGLY as part of the exchange offer was approved in advanced by the board of
directors of UGLY.
(2) 136,500 tendered by Garcia Family Foundation; 158,000 tendered by
corporation wholly-owned by Mr. Garcia.
