Reference is made to the filing on Form 8-A (the "Form 8-A") of the
Registration Statement of Restrac, Inc. (the "Company"), pursuant to Section
12(g) of the Securities Exchange Act of 1934, as amended, on May 17, 1996. On
behalf of the Company, we hereby request withdrawal of the Form 8-A. We intend
to resubmit a Form 8-A Registration Statement of the Company at a later date
which is closer to the effective date of the Registration Statement on Form S-1
(File No. 333-03521) filed with the Securities and Exchange Commission pursuant
to the Securities Act of 1933, as amended.
