DESCRIPTION OF BUSINESS
GENERAL

World CallNet, Inc. (the "Company") is a Delaware corporation
incorporated on December 28, 1992 as Hermes Capital Management, Inc. It was
inactive until October 1995, when it changed its name to General American
Royalty, Inc. and became active in the oil and gas royalty business in Texas and
New Mexico. In 1998, the Company sold all of its oil and gas royalty interests
and on October 9, 1998, acquired World Wide Communications (Holdings) Ltd.
("WWCH"), a privately held United Kingdom development stage telecommunications
company based in London, England. As a result of the acquisition, WWCH
shareholders were issued 75% of the Company's presently outstanding capital
stock and hold three of the four board of directors positions.
For financial reporting purposes the transaction was accounted for as a
reverse acquisition. WWCH was treated as the acquirer and will be the ongoing
reporting entity. This report includes only the WWCH financial statements since
its inception on January 23, 1998. Since the transaction was completed before
the Company's October 31 fiscal yearend, this annual report and all future
reports shall adopt WWCH's September 30 fiscal yearend. The Company changed its
name to World CallNet, Inc. in January 1999.

BUSINESS OF ISSUER
- ------------------
The Company offers products and services that facilitate low cost
consumer access to the Internet. It is engaged in the development of Internet
access solutions through affordable products that utilize mediums not normally
associated with Internet access. This includes cellular telephones, television
sets and specially engineered input devices such as keyboards that function
without a personal computer. The Company has concentrated its efforts on
expanding Internet access to customers in Europe, but plans to market its
products in the United States and other regions of the world.
Most companies that offer Internet access are currently focused on the
subscription or monthly fee based personal computer market. The Company believes
that a significant opportunity exists to capture business from providing
Internet connectivity without charging users any registration or monthly fees or
requiring a computer. This approach is based on the concept that virtually every
household or business in the world is a potential customer if Internet access is
free. The Company offers products with integrated telephone circuitry that
provides Internet access using existing local telephone service.
Calls made by users to connect to the Internet are directed to an
Internet Service Provider ("ISP") designated by the Company with no registration
or monthly fees. The Company has entered into an agreement with CallNet Plc
("CallNet ISP"), an affiliate of the Company, in which the Company will license
its ISP business through CallNet ISP. Under the terms of the agreement, the
Company agreed to purchase 20% of CallNet ISP in exchange for 500,000 shares of
common stock. The Company expects to complete the purchase by mid February and
may acquire the remaining 80% of CallNet ISP before the end of fiscal year 1999.
The ownership of CallNet ISP is the key ingredient in the Company's
plan of operation. CallNet ISP has entered into a revenue participation
agreement with carrier Cable and Wireless Communications ("CWC"), which offers
users computer/modem and no computer connections to the Internet at local toll
rates. The agreement entitles CallNet ISP to receive a percentage of the toll
charges earned by CWC from calls connecting to the Internet through CallNet ISP.
Through its ownership of CallNet ISP, the Company's expects to earn its primary
source of revenues from these toll charges.
PRINCIPAL PRODUCTS AND MARKETS
- ------------------------------
The European telephone system offers callers access to its services,
including local calls, only through metered telephone tolls. Telephone service
providers have structured their telecommunications networks to derive income
from system usage rather than from fixed access charges. The Company believes
that this makes monthly fee based Internet service unaffordable for most

European businesses or households. It has developed affordable products that
offer Internet access through existing telecommunications networks using CallNet
ISP for user connection. The participation in metered telephone toll revenues
through the proposed ownership of CallNet ISP is the Company's principal profit
center and the basis of design for all of its products and services.
In the United States, local telephone service is offered for a monthly
fee with either unlimited local calls allowed or for a small surcharge after a
certain number of free minutes each month. In Europe however, and the rest of
the world, local telephone calls are metered and are charged a per minute rate.
In the UK, these charges vary depending on the time of day, and the day of the
week, from about $0.06 to slightly more than $0.15 per minute. This includes all
local calls used for Internet connectivity. Because Europeans are accustomed to
paying for local calls in this manner, companies offering Internet service
without registration or monthly fees appear to be providing free Internet
access. The Company's goal is to capture a high volume of traffic from customers
that connect to the Internet through CallNet ISP.
Through its licensing arrangements with CallNet ISP, the Company offers
Internet connectivity as its main product. It is a distribution product, brought
to market via companies and organizations such as banks, supermarkets, retailers
and other ISP organizations. These entities become virtual ISP's by re-branding
CallNet ISP with their own names such as BankNet or StoreNet. The Company
provides the technology and infrastructure for these companies, enabling them to
develop and market their own Internet based products and services. Metered toll
revenues are earned from calls routed through the CallNet ISP network by these
companies.
The Company creates opportunities to generate telephone toll revenues
with products that include a proprietary keyboard that is a sophisticated
telephone instrument designed for dial-up connections to the Internet. The
keyboard is an affordable alternative to purchasing a computer and is marketed
using the concept of free Internet access with no registration or monthly fees.
A connection to local telephone service is the only requirement. All of the
Company's Internet access products utilize the special keyboard, which sells for
about fifty dollars.
Set-Top-Boxes provide Internet access through a standard television set
and sell at a price significantly lower than rival "Web TV" units. These units
are pre-configured to connect to CallNet ISP and feature full web browsing and
email. Users pay only for the time while online at the same rates charged for
local telephone calls.
A new product being marketed and developed is a silicon chip called
MailTV that facilitates Internet access using television sets connected to local
telephone service. The chip is being installed in new television sets and can be
retro-fitted to existing sets at a fraction of the cost of purchasing a
computer. The Company has entered into a joint marketing and distribution
agreement with Zilog, a major silicon chip manufacturer based in the United
States.

Zilog has been promoting the MailTV chip to television manufacturers
throughout the world. The most recent agreement was with Vestel, an OEM TV
manufacturer. Under the agreement Zilog will supply Vestel with 5 million MaiITV
enabled chips to be incorporated into the entire production of Vestel's TV's.
Most of these TV's will be distributed in the United Kingdom and throughout
Europe in 1999 under various brand names. In addition, Zilog has requested that
World CallNet design for them, a Set-Top-Box that contains the MailTV chip. This
will be a low cost product and is aimed at the retrofit market.
The Company plans to expand into mainland Europe through operating
subsidiaries and venture partners. If opportunities become available, the
Company may acquire other businesses or entities that are competitors in
Internet related businesses. The customers that are acquired become part of the
CallNet system and facilitate the process of establishing the Company's products
and services. Future plans call for expansion to North America, South America,
and ultimately Asia.
COMPETITIVE BUSINESS CONDITIONS
- -------------------------------
The market for Internet products and services is highly competitive and
the Company expects that competition will continue to intensify. There are no
substantial barriers to entry in these markets and technology is advancing at a
very rapid pace. Although the Company believes its products and services will
appeal to the many segments of the Internet market, it is possible that a single
supplier of products and services similar to those of the Company may dominate
one or more market segments.
The Company competes with many other providers of Internet access and
online navigation such as America Online, Compuserve, Prodigy and Microsoft.
Many of these competitors are larger than the Company and have substantially
greater access to capital and technical resources than does the Company and may,
therefore, have a significant competitive advantage. Many of the Company's
competitors are capable of making larger expenditures to develop and market
their products and services.
Competitive conditions in the telecommunications industry could have a
significant influence on the success of CallNet ISP's ability to earn telephone
toll revenues. Arrangements that earn CallNet ISP a percentage of metered tolls
are dependent upon the telephone carrier's ability to maintain its network.
Market conditions and other factors that affect telephone carriers are beyond
the scope or control of the Company. If satisfactory agreements to share
revenues with telephone carriers cannot be maintained by CallNet ISP, the
Company would have to purchase its own telecommunications facilities.

MAJOR CUSTOMERS
- ---------------
The Company's products are generally sold to the public and no single
customer is significant enough to adversely impact income if lost. However, the
Company's primary source of revenue is expected to be derived by CallNet ISP
from toll charges billed by local telephone companies to its customers through
carrier CWC. CWC is the second largest telephone company in the United Kingdom,
providing carrier network services on a worldwide basis. The CallNet ISP
communications equipment is located at the CWC Facilities Management in West
London.
In October 1998, an interconnect agreement was signed with CWC, whereby
CallNet ISP is entitled to receive payment for thirty five percent of toll call
revenues generated from CallNet ISP traffic. Based on the proposed acquisition
of CallNet ISP, the CWC agreement is expected to become the Company's primary
source of future revenues. The loss of this agreement could have a material
adverse impact on the Company's business.
REGULATORY MATTERS
- ------------------
Deregulation of the telecommunications industry has just begun in
Europe. As a result of deregulation, European telephone companies are engaged in
intense competition for local call traffic and to gain market share. The
Company's business plan is designed to take advantage of these factors in the
European telephone industry by participation in the toll charges earned by
telephone carriers from telephone connections to the Internet. CallNet ISP must
negotiate with telephone companies that own the telecommunication networks that
handle customer traffic and connection to the Internet. It is not possible to
predict the impact that deregulation will have on the Company's ability to
maintain satisfactory margins on contracts with network carriers.
EMPLOYEES

The Company has eleven full-time employees in the United Kingdom and
has retained the services of a full-time consultant to oversee business
activities in the United States. The management believes it has satisfactory
relations with its employees.
DESCRIPTION OF PROPERTIES
The Company's administrative offices are located at Brecon House,
Meridian Gate, 207 Marsh Wall, in London. In addition, the Company has an office
in the United States located at 731 Meadows Building, 5646 Milton Street,
Dallas, Texas. Both of these offices are leased. The Company owns the patents
and intellectual property rights for all of its core products and plans to
license these technologies to semiconductor and consumer electronics
manufacturers.

The Company regards its trade secrets and intellectual property rights
as critical to its success and will rely upon applicable laws, trade secret
protection and confidentiality and/or license agreements with its employees,
customers, partners and others to protects its proprietary rights. There can be
no assurance that the steps taken by the Company to protect any of its
proprietary rights will be adequate or that third parties will not infringe or
misappropriate the Company's proprietary rights. Additionally, there can be no
assurance that other parties will not assert infringement claims against the
Company.
LEGAL PROCEEDINGS
There were no legal proceedings involving the Company or any of its
subsidiaries as of the date of this report.

The Company's common stock is listed on the OTC Bulletin Board (symbol
WOWW). The first trading in the stock occurred on February 4, 1997. The

During the last two years no cash dividends have been declared on the
Company's common stock. There are no restrictions that limit the Company's
ability to pay dividends on common equity stock or that are likely to do so in
the future.
MANAGEMENT'S DISCUSSION AND ANALYSIS OF FINANCIAL
CONDITION AND RESULTS OF OPERATIONS
LIQUIDITY AND CAPITAL RESOURCES

During 1998 the Company sold all of its interests in oil and gas
royalty properties for cash and, after repayment of debt and accounts payable,
became a publicly traded shell. In October 1998, the Company completed the
acquisition of World Wide Communication (Holdings) Ltd. ("WWCH"), in a
transaction accounted for as a reverse acquisition. As a result, the Company
became the successor to the business and financial operations of WWCH, including
its fiscal yearend of September 30. WWCH began operations in January 1998 and
this report includes historical data since that date. In January 1999, the
Company changed its name to World CallNet, Inc.
Since incorporation in January 1998, the Company has been involved
primarily in capital formation activities, refinement of its business strategy
and development of relationships with industry partners. The Company's principal
external source of capital for developing its products and services has been the
placement of bridge notes payable. In December 1998, the Company completed the
private placement of $1,150,000 in bridge notes that are due one year from date
of issuance. Additional placements of bridge notes or the sale of equity
securities to fund operating expenses will be necessary until the Company
becomes profitable.
The Company's plan of operation for the next twelve months includes the
ongoing operation of its Internet service and the continued development and
marketing of its Internet products such as Mail TV and its proprietary keyboard.
The Company will require substantial capital to implement its business plan,
which is discussed further in Note 2 to the Financial Statements. It is expected
that costs of product development and manufacturing these products will be borne
by joint venture partners such as Zilog, OEM television manufacturers and other
third parties seeking to acquire new microchip technology developed by the
Company.
With working capital on hand, the Company estimates it can satisfy its
obligations and cash requirements until mid 1999. To meet debt obligations due
during the balance of fiscal 1999 and 2000, the Company will have to raise
additional capital in the next twelve months.
The Company has estimated that research and development costs will be
approximately $250,000 during the next twelve months. Expenditures for plant
and/or significant capital equipment are estimated at $750,000 during the next
twelve months.

If necessary, the Company will issue shares of its capital stock to
acquire assets, customers and other entities that appear to be viable business
opportunities.
The Company expects that its primary source of internal liquidity will
be revenues from telephone toll charges earned by under the terms of its CWC
agreement. The fundamental business strategy is to direct telephone usage to the
CallNet telecommunications network from new CallNet ISP customers. The Company's
products are designed to facilitate new Internet access. Sale of these products
is expected to be a secondary source of revenues for the Company.
The Company is in the process of evaluating and implementing changes,
as necessary, to its information systems and accordingly does not anticipate any
material year 2000 issues from its own systems, programs or from any of its
products. The impact of such issues on the Company's suppliers, customers,
vendors and financial service organizations could have an adverse effect on the
Company.
RESULTS OF OPERATIONS

The results of operations for purposes of this discussion include only
the financial information related to WWCH, the surviving business operation in a
transaction that was treated as a reverse acquisition. The Company's financial
statements report only the business operations and assets of WWCH from its
inception in early 1998. Financial information and related discussions contained
in reports previously filed by the Company are not comparable with the
disclosures included herein.
For the period from January 23, 1998 through September 30, 1998 the
Company incurred salaries and other administrative expenses related to capital
formation and development of its business plan. These expenses are reflected on
the statement of operations for the period as charges to general and
administrative expense.

1. ORGANIZATION AND SIGNIFICANT ACCOUNTING POLICIES
------------------------------------------------
Organization
------------
World CallNet, Inc. (the "Company") (formerly Worldwide Communications
(Holdings) Limited) is a development stage company incorporated in the
United Kingdom on January 23, 1998. The Company's business plan is to
develop and sell certain consumer internet software and operate as a
pay-as-you-go internet service provider. The accompanying financial
statements include the accounts of the Company and its wholly-owned
subsidiary, Overleaf Systems, Limited ("Overleaf"). Overleaf has been
inactive to date.
Investment in Marketable Securities
-----------------------------------
The Company's investment in securities at September 30, 1998 is classified
as available for sale and carried at estimated market value.
Foreign Currency Translation
----------------------------
The Company conducts its operations and maintains its accounts in British
pounds. Financial statements prepared in U.S. dollars are translated based
on the exchange rate at the balance sheet date for assets and liabilities
and a weighted average rate for revenues and expenses. Translation
adjustments are accumulated in a separate component of stockholders'
deficit entitled foreign currency translation adjustment.
Loss Per Share
--------------
Basic loss per share is computed based on the weighted average number of
shares outstanding during the period. Diluted loss per share takes common
stock equivalent shares (such as options, warrants and convertible
securities) into consideration. However, common stock equivalent shares are
not considered when their effect would be anti-dilutive.
Use of Estimates
----------------
The preparation of the Company's financial statements in conformity with
generally accepted accounting principles requires the Company's management
to make estimates and assumptions that affect the amounts reported in these
financial statements and accompanying notes. Actual results could differ
from those estimates.
Income Taxes
------------
The Company accounts for income taxes under the liability method, which
requires recognition of deferred tax assets and liabilities for the
expected future tax consequences of events that have been included in the
financial statements or tax returns. Under this method, deferred tax assets
and liabilities are determined based on the difference between the
financial statements and tax bases of assets and liabilities using enacted
tax rates in effect for the year in which the differences are expected to
reverse. The Company has a tax loss carryforward at September 30, 1998 of
approximately $200,000 and a deferred tax asset, which is fully reserved,
of approximately $50,000.

Intangible Asset

Intangible asset consists of intellectual property, which will be amortized
by the straight-line method over five years.
Statement of Cash Flows
-----------------------
For purposes of the statements of cash flows, the Company considers all
highly liquid debt instruments purchased with an original maturity of three
months or less to be cash equivalents.
2. CONTINUED OPERATIONS
--------------------
The Company is in the development stage and has had no revenues through
September 30, 1998. In addition, the Company will require substantial
capital to implement its business plan. These factors raise substantial
doubt about the Company's ability to continue as a going concern. In
December 1998, the Company completed a one-year note offering, in which it
raised net proceeds of approximately $1,100,000. The Company has also
negotiated a development and marketing agreement with a much larger company
that management believes will facilitate market penetration. Management
also intends to attempt to raise additional capital in the near term.
Management believes these actions will permit the Company to achieve its
objectives and attain profitable operations to allow the Company to
continue as a going concern.
3. INVESTMENT AND DEFERRED REVENUE

In September 1998, the Company acquired 2,000,000 shares in Cherokee
Leisure Plc ("Cherokee"), a publicly traded company in the United Kingdom,
from another company in exchange for payment of $10,189 and assumption of
the other company's obligations to Cherokee. The obligations are to design,
install and support a website for Cherokee. The Company has valued the
Cherokee shares based on their estimated market value of $203,772 at the
time of acquisition. The estimated market value was materially unchanged at
September 30, 1998. The Company has recorded a deferred revenue liability
of $193,583, which represents the estimated value of the shares less the
cash payment. The cash payment was made by another company with directors
in common with the Company and is included in "due to affiliate" in the
accompanying balance sheet. The Company is entitled to receive 40% of any
revenue generated from the website. If such revenue generated is less than
approximately $700,000 through April 30, 1999, the Company must return
500,000 shares of the Cherokee stock. If such revenue exceeds approximately
$2,800,000 through April 30, 1999, the Company will be entitled to an
additional 500,000 shares of the Cherokee stock.

4. RELATED PARTY TRANSACTIONS
--------------------------
Certain directors and stockholders of the Company are directors and/or
stockholders in other companies with which the Company had the transactions
set forth below. Also, see Notes 3 and 6.
o CallNet Plc paid salaries of officers/directors and employees and paid
certain other administrative costs of the Company. Such amounts, which
totaled $185,486, have been recorded as administrative expense.
o Certain intellectual property rights related to e-mail functionality
were assigned to the Company by Telemail Europe (via the Company's
newly formed subsidiary, Overleaf) in exchange for 100 shares of stock.
The parties that received the stock also paid the Company a total of
$166 for the shares.
o The Company entered into an agreement with CallNet Plc in which the
Company will license its system for the business of internet service
provider and CallNet Plc will sub-license such system to other parties.
5. COMMITMENT
----------
The Company has employment agreements with three officers/directors which
require annual payments through September 2001 of approximately $110,000
each.
6. Subsequent Events
-----------------
In October 1998, 100% of the Company's common stock was acquired by General
American Royalty, Inc. ("GAR"). The Company's stockholders obtained
approximately 75% of the outstanding common stock of GAR and three of the
Company's directors were appointed to the board of GAR. For financial
reporting purposes, the transaction will be treated as a reverse
acquisition of GAR by the Company. Following the reverse acquisition, the
Company's stockholders' deficit section will reflect the GAR capital
structure, which is presented parenthetically on a pro forma basis in the
accompanying balance sheet. As of September 30, 1998 GAR's unaudited
summarized financial position was as follows:

In December 1998, the Company completed a private placement of notes
payable totaling $1,150,000. The notes bear interest at 10% and are
collateralized by the Company's shares of Cherokee Leisure Plc. Interest is
due monthly and principal is due in full on December 1, 1999. The holders
of the notes were also issued stock purchase warrants entitling them to
purchase an aggregate of 575,000 shares of the Company's common stock
between March 1, 1999 and December 1, 2000 at $1.00 per share. The Company
paid a $50,000 commission in connection with the offering.
In January 1999, the Company's stockholders approved (1) a change in the
corporate name of GAR and its subsidiary, the Company, to World CallNet,
Inc., (2) an increase in the authorized shares to 30,000,000 shares of
common stock and 10,000,000 shares of preferred stock, and (3) a stock
option plan that had been adopted by the board of directors in November
1998. Under the stock option plan, the Company's board of directors may
grant options to acquire up to a total of 1,000,000 shares of stock to
officers, directors, employees, advisors or consultants of the Company. In
November 1998, the Company granted options to each of three of its
directors to acquire 150,000 shares for $1.50 a share. The options expire
in November 2001. Also in November 1998, the Company granted options to
acquire 100,000 shares to a director and 50,000 shares to an advisory
director under the same terms.

On October 30, 1997 the Company engaged Hein + Associates LLP ("Hein")
as its independent principal accountant and auditor, and dismissed Coopers &
Lybrand, LLP ("C&L"). C&L had been engaged as principal accountants and issued
an audit report on the Company's financial statements for the last fiscal year.
C&L's audit reports contained no adverse opinion of disclaimer of opinion and,
were not qualified as to uncertainty, audit scope or accounting principles. The
Company had no disagreements with C&L over accounting principles or practices,
financial statement disclosure, or auditing scope or procedure which, if not
resolved to C&L's satisfaction, would have caused it to make reference to the
subject matter of the disagreements in its audit report. C&L's letter confirming
these facts was included as part of the Company's filing on Form 8-K dated
October 30, 1997.

BUSINESS EXPERIENCE

Paul Goodman-Simpson. Mr. Goodman-Simpson has been a director and the
president of the Company since October 9,1998 and a managing director and a
co-founder in 1997 of WWCH, which became a wholly owned subsidiary of the
Company on October 9, 1998. From 1993 to 1997 he was the managing director of
KORE Ltd., a computer software distribution company. From 1992 to 1997 he was
Director of Sales (Far East Asia) of International Software Systems, Inc., a
software company. From 1985 to 1991 he was a salesman for two other software
companies.
Aaron Goodman-Simpson. Mr. Goodman-Simpson has been a director and the
vice president for operations and sales of the Company since October 9, 1998,
when the Company acquired all the capital stock of WWCH. He joined WWCH in 1997
as its sales director and vice president for operations. He serves, and has
served since 1994, as the sales director of KORE Ltd., a computer software
distribution company. From 1992 until October 1994 he was the business
development manager for Computer 2000 Datech Ltd., Europe's largest computer
peripheral distributor. From 1986 until 1992 he was a director of A & B
Developments Ltd., a construction company to which Mr. Goodman-Simpson
introduced computer-aided design to its practice.
Keith Goodyer. Mr. Goodyer is a director and vice president of the
Company since October 9, 1998 and the technical director and a co-founder in
1997 of WWCH, which became a wholly owned subsidiary of the Company on October
9, 1998. He manages WWCH's research and development facility in Newport Pagnell,
England. From 1979 until co-founding WWCH, he was an independent Internet
consultant and developer. He developed several new consumer electronics and
Internet tools including the Company's TelEmail and MailTV products. From 1992
to April 1997 Mr. Goodyer was Internet Appliance Product Manager of MSU
Corporation, a public company that designs internet appliances, and led a
development team that produced the first Set-Top-Box for connecting television
sets to the Internet.
James F. Smith. Mr. Smith is a director and was president of
the Company from 1995 until October 9, 1998, when the Company acquired all the
capital stock of WWCH. Prior to joining the Company in 1995, Mr. Smith was
active in the oil and gas business and had been a founder and executive officer
of four public companies that were engaged in the oil and gas business.
Walter B. Wriston. Mr. Wriston has served as an advisory
director of the Company since November 1998. He retired as Chairman and Chief
Executive Officer of Citicorp and its principal subsidiary, Citibank, N.A., in
September 1984. Mr. Wriston serves as a director of ICOS Corporation, York
International Corporation, Cygnus, Inc., Vion Pharmaceuticals, Inc. and WMNB
Acquisition Corp. He also served as Chairman of President Reagan's Economic
Policy Advisory Board and a member and former Chairman of The Business Council.

THIS Agreement is made effective this 2nd Day of December, 1998 (hereinafter
"Effective Date", by and between ZiLOG. Inc., a Delaware Corporation having a
place of bustness at 910 East Hamilton Avenue, Campbell, CA 95008, ("ZiLOG")
and General American Royalty Inc, a corporation having a place of business
at One-energy Square, Suite 717, 4925 Greenville Avenue, Dallas Texas 75206
Recitals
a) General American Royalty, Inc. has accquired WorldWide Communications
Holdings Ltd., a privately held UK business (WWCH) as a means to establish
WWCH as a US business. WWCH and General American Royalty, Inc. are to be
renamed "World CallNet Inc." at a future date. This Agreement is made
between ZiLOG and General American Royalty Inc. at this time. Once WWCH
and General American Royalty Inc. changes its name, the parties intend to
permit the assignment of this Agreement to World CallNet Inc. ("WCI").
Approval of such assignment will not unnecessarily be withheld.
b) WCI (a subsidiary of WWCH] is a telecommuications, electronics design, and
licensing company, and innovator of internet server based applicatians for

solutions available to customers through each, party's distribution, sales,

ZiLOG product end users and equipment manufacturing customers.
f) Each party would benefit from a cooperaSive merchandising and sales program

1.1. "Product" shall mean the ZiLOG integrated circuits used to implement MailTV
and other applications.
1.2. "WCI Products" shall mean application software, services and related
hardware needed to uperate or use such software and/or seNices.
1.3. "MAILTV" shall mean the email service application as demonstrated by WCI
from an internet server accessed in the home on a television using an
on-screen display controller and modem circuit
1.4. "MailTV Application Development Board" shall mean the hardware as described
and specifed in Exhibit A using ZiLOG on-screen display and modem drcuits
and any future revisions and updates.
1.5. "MailTV Production Module Specifications" shall mean the hardware
description and drawings and ZiLOG on- screen display and modem circuit
Products that will be developed by and for customers after evaluation of
the MailTV Application Development Board during the course of this
agreement and attached as Exhibit B.
1.6. "Joint Applications" shall mean subsequent applications jointly developed
by use of WCI software and services and ZiLOG integrated circuits.
1.7. "WCI" Industrial Property Rights" or WCI Technology" shall mean all
inventions, know how, hardware, software, firmware, assembly technigques,
whether or not patentable, embodied in or utilized in connection with
MailTV, including any patents, trademarks, trade names, copyrights, trade
secrets, maskworks, or other intangible property rights.
1.8. "ZiLOG Industrial Property Rights" or "ZiLOG Technology" shall mean ZiLOG
integrated circuit Products and all inventions, know how, hardware,
software, firmwere assembly techniques, whether or not palentable, embodied
in or utilized in connection with such Products, induding any patents,
trademarks, trade names, copyrights, trade secrets, maskworks, or other
intangible property rights.
1.9. "Confidontial Information" shan mean information related to "WCI Techndogy"
or ZiLOG Products and knowhow owned or controlled by either party which is
disclosed, directly or indirectly, to the other party pursuant to the
provisions of this Agreement, except:

o Information which, at the time of disclosure, is in the public domain;
o Information which after the time of disclosure is published or otherwise
becomes part of 1he public domain through no fault of the receiving party,
but only to the extent it is published or otherwise becomes part of the
public domain;
o Information that the receiving party can show was in its possession at the
time of disclosure and was not acquired, directly or indirectly, from, any
party under an obligation of confidence;
o Information which was received without resitriction on use or disclosure by
the receiving party after the time of disclosure hereunder from a third
parry who did not acquire it, directly or indirectly, from ZiLOG w WCI
under an oblicalion of confidence; or
o Information independently developoed by the employees of ZiLOG, WCI, or an
independent consultant for ZiLOG or WCI who has not been exposed to or had
access to the Confidential Information.
2.0. Apptications Cooperation
ZiLOG and WCl shall cooperate to develop customers who will use co-branded
WCI Tecnology and Products. The first applications shall be:
2.1. MailTV, an e-mail service using TV on screen display of e-mail obtained
from remote internet servers via dial-up phone connection by the user and
controlled by the user on a TV remote controller of keyboard.
2.2. Tele-mail, an e-mail service using a keyboard with remote tone dialing
access to teletext based e-mail.
2.3. Other services to be announced, that will be mutually agreed in writing by
and between W0l and ZiLOG. The parties will cooperate to evaluate Joint
Applications and Products that will prove mutually beneficial. Neither
party shall be obligated to develop any application that is not deemed to
be in its best economic interest.
3.0. Development Agreement
If the parties decide to develop Joint Application(s), they shall cooperate
in the development of Products, hardware, firmware and software necessary
to complete the Joint Applications.

3.1. ZiLOG and WCI shall first build 50 Development application boards for Other
Equipment Manufacture ("OEM") customer use with televisions and set-top
boxes to implement MailTV prototypes as described in Exhibit A. The tasks
to be performed by each party are set forth on Exhibit A. WCI shall first
assist ZiLOG in building 10 demonstration Mail TV platforms using existing
ZiLOG OSO controller circuits Z903XX and modem controllers Z0220X in time
for January 6 CES in Las Vegas. A subsequent 40 boards shall be built for
customer demonstrations by ZiLOG. The development tasks to be performed by
each party are set forth on Exhibit A.
3.2. WCI will also develop a production quality MailTV application module
reference design and a production quality set-top box module reference
design suitable for WCI and ZiLOG's initial customer reqirements and to
mutually agreed specifications to be defined with ZiLOG's customers. WCI
will discuss the prototype design modifications with, ZiLOG cusbomers who
wi11 be introduced to WCI by ZiLOC during the initial three months of the
Agreement. ZiLOG will subequently be able to manufacture or have
manufactured and market modified versions of these module designs to
satisfy future market requirements.
3.3. ZiLOG shall pay WCI thirty-five dollars ($35,000) per month for three (3)
months for timely and acceptable development of the MailTV application
according to the deliverables, schedules and milestones contained in
Exhibits C and D attached to this agreement.
3.4. The parties shall define new Joint Applications and agree in writing to
development foes, deliverables, schedules and milestones therefore. These
shall be documented in New Exhibits to this Agreement or in new agreements
as the parties may deem appropriate.
3.5. ZiLOG at its sole option shall invest in new integrated circuits and
provide customized controllers for WCI apptiications as the customer demand
is developed and reasonable payload can be defned.
4.0. WCI Services and Marketing
4.1. WCI shall provide MailTV service through third party agreemnents with
worldwide telephone service providers and internet Service Provider ("ISP")
server and modem rack suppliers such that MailTV services can be reliably
provided to large numbers of customers, as a minimum in agreed major
European countries.
4.2. Existing third party agreements as described in 4.1 shall be provided
confidentially to ZiLOG prior to the execution of this final agreement and
future such agreements shall be so provided to ZiLOG on an ongoing basis
thereafter.

4.3 The MailTV service shall first be established in the U. K. ZiLOG and WCI
shall merchandize and develop regions beyond the initial UK and German
markets, soon thereafter.
4.4. If WCI has not eatablished, does not wish or is no longer able to support
MailTV services in territories where ZiLOG wishes to market MailTV
solutions. WCI agrees to allow ZiLOG to sublicense WCI server based e-mail
technology to thitd party ISP's to establish such services. Sublicense
agreements shall be negotiated by ZiLOG and approved through WCI to allow
implementation of or continuation of such services
4.5. ZiLOG will be exclusively marketed and co-branded by WCI as the chip
supplier of choice for all application appliances and rernote controllers
as long as ZiLOG provides suitable components for WCI applications.
4.6. ZiLOG shall introduce WOl to its TV and set-top box customers and jointly
present the WCI applications through direct sales visits and merchandizing
programs to be defined.
4.7. ZiLOG and WCI shall establish MailTV as a brand name during merchandising
of both the Mainv application services and ZiLOG MailTV integrated circuits
used in the appliances and remote controllers.
5.0. Remuneration from developed Services
5.1. WCI shall pay ZiLOG a twenty five (25) percent share of all WCI MailIV call
revenue each year to repay investment by ZiLOG in chips, hardware,
marketing and application support. ZiLOG will then incentivize customer
OEMs building the, appication hardware and agrees to aharing this call
revenue. MailTV OEMs shall typically receive from ZiLOG a low percentage no
less than 5 percent of the call revenue even when not using ZiLOG's chipset
or a higher percent if they do. This is to ensure promotion of MailTV
business with OEM customers should ZiLOG circuits be suitable or not.
5.2. Payments shall be made within thirty (30) days of the end of each calendar
quarter with a report indicating total call revenue, WCI call revenue
income and percent, and ZiLOG 25 percont amount by brand service call
account number.
5.3. Similar renuneration payments from WCI to ZiLOG and ZiLOG to OEMs Shall be
nogotiated on new apptications and services as they are implemented.

4. Remuneration to ZiLOG after termination of this agreement shall continue
where ZiLOG products and technology are or were contributing to the
original success of WCI services.
6.0. Rights
6.1. ZiLOG shall retain ownership of all its own Industrial Property Rights
whether incorporated in the Product or not. WCI shall retain ownership of
all its own Industrial Property Rights whether incorporated in the MailTV
application development boards or production modules or not. WCI agrees
that the ZiLOG Industrial Property Rights to the Product are and shall
remain the sole propertyof ZiLOG. ZiLOG agrees that the WCI industrial
Property Rights are and shall remain the sole property of WCI.
6.2. ZiLOG is licensed under WCI Industriai Proporty Rights to markot products
relying on WCI Technology.
6.3. ZiLOG is licensed to use but not sell WCI application source code for
customer support and further development of prouction, reference design or
prototype hardware.
7.0. Warranties
7.1. ZiLOG MAKES NO WARRANTY, EITHER EXPRESS, IMPLIED OR STATUTORY, IN RESPECT
OF THE PRODUCT OR THE PERFORMANCE THEREOF, INCLUDING, WITHOUT LIMITATION,
MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE OR INTENDED USE.
7.2. WCI warrents that it is not aware of any actual or claimed infringement of
a third party's intellectual property rights by the design of the MailTV
software or use of WCI Technology.
8.0. General Terms
8.1. ZiLOG and WCI shall explore the opportunity for ZiLOG to furthur assist WCI
through investment in WCI preferred stock. This shall be discussed at
ZiLOG's option during the initial three month's of this Agreement.
2 ZiLOG and WCI shall jointly develop new business opportunities through a
co-branded marketing and merchandizing program to be defined within the
acceptable limits for each, company and that will be mutually negotiated.
Joint participation with demonstrations and press releases either before,
during or after CES (Consumer Electronics Show in Las Vegas) in January
1999 is anticipated.

8.3. Either party without the prior written censent of the other party may make
no announcements or disclosures of any kind regarding this Agreement or the
subject matter thereof.
8.4. All notices with respect to this Agreement shall be sent to the respective

8.5 The term of this agreement is initially set for a three year period and
will be automatically renewable in annual increments unless requested
otherwise by both parties.
8.6. This Agreement shall be governed by the laws of the State of California and
any dispute between the parties arising out of or relating to the Agreement
will be determined by binding arbitration in San Jose, Aalifornia and
judgment upon any arbitrtion awrd may be entered in any court of competent
jurisdiction. A single arbitrator shall hold the arbitration. If the
parties within 20 days agree upon the arbitrator, then they shall follow
CCP#1281.6 to appoint arbitrator. The parties shall agree upon rules to
govern the arbitration process. If the parties cannot agree upon rules
within 20 days after argitration has been demanded by either party, then
the substantive and procedural rules then used by the American Arbitration
Assiciation ("AAA") shall be adopted for the purposes of this arbitration.
The application of these rules shall not cause AAA in any way to become
involved in the arbitration. The party prevailing in the arbitration shall
be entitled to a reasonable sum for attorney's fees and costs in addition
to other relief that may be granted. The arbitrator shall determine the
amount of attorney's fees and costs that shall be awarded. All agreements
or controversies arising out of or in any matter related to this Agreement
shall be brought within one (1) year after said claim, controversy or
disagreement arises or be forever barred.
8.7. This Agreement may be terminated forthwith by either party upon written
notice to the other in the event that an uncured breach of the agreement
after notification of breach, by more than 90 days occurs or the other is
adjudicated bankrupt or insolvent by any court of competent jurisdiction or
trustee in any proceeding in a court of competent jurisdiclion.

8.8 The remdles provided herein are the parties' sole and exclusive remedies
for any action arising out of or in connection with this Agreement. Neither
party will be liable for any direct, indirect, special, incidental or
Consequential damages, whether based in contract, tort, or any other legal
theory. In addition, neither party will be iiabie far lost profits or
injury to goodwill for any delay or nonperformance, even if they shell have
been advised of the possbility of it.
8.9. This Agreement includes the entire agreement of the parties hereto with
respect to the subject matter hereof, supersedes all prior communications,
representations, promises or statements either written or oral, including,
but net limited to, quotations, purchase orders, acknowledgements and
agreements, whether written, or oral relating thereto, and may not be
modifed or ammended except by a writing signed by the parties hereto.
8.10.This Agreementmay be terminated fortwith by either party upon written
notice tothe other in the event that the other is adjudicated bankrupt or
insolvent by any court of Competent jurisdiction or trustee In any
proceeding in any ccour of competent jurisdiction. After expiration or
termination of this Agreement, the following sections induding all
subsections contained therein sha11 survive: 1, 3.5, 4.2, 4.4, 5.4, 6, 7,
8.1, 8.3. 8.4, 8.6, 8.7, 8.8, 8.9, Exibits A and B.

And Specifications
A single board comprising of three separable distinct sections
a) MailTV application board with population options for Z903XX
EEPROM based on-screen display cantroller and the Z02205 modem
controller snd extemal SRAM.
b) Data Access Arrangement (DAA) suitable for CBT21 FCC Part 68
European Type Approval including the ZiLOG 702201 modem datapump.
c) Utility board that includes a PAL/NTSC encoder and IR receiver
with a power supply unit.
Each circuit can be used in isolation or in combinatian with the other circuits
in order to provide:

Exhibit B
MailTV Production module specifications
ZiLOG and WCI will discuss the design parameters for customer prototypes and
production modules. Specifications for production versions of both a MailTV
application module and and set-top reference application board module will be
finalized based on input from ZiLOG and its customers and shall be attached to
this agreement as Exhibit B before completion of the anticipated three month
development program. These designs shall represent the acceptable and reliable
implementntion of WCI technology and ZiLOG integrated circuits for MailTV
application. These designs shall be updated from time to time by WCI and ZiLOG
as necessary to implement MailTV or ZiLOG circuit updates or bug fixes necessary
in the original MailTV application.

Deliverables and Payments
Upon signature of this agreement and on or before December 2 1998 ZiLOG shall
pay WCI the first of three monthly NRE payments of 35,00Q US dollars in return
for completion of milestones as contained in Exhibits A, B, and C.
It is anticipated that customer funding will be acquired beyond the initial
development plan intended to produce capable demonstration units of ZiLOG
integrated arcuits running the WCI MailTV application code and will contribute
towards the completion of production reference module designs.
ZiLOG shall contribute reasonable resources to assist in the assembly of the
Application Development Both demonstration units and production reference
modules. Assistance shall indude use of ZiLOG emulators, One Time Programmable
("OTP") devices, worstations and personnel as will be defined to reasonably
develop the units as defined in Exhibits A and B.

Dear Paul
We have pleasure in offering you a contract of employment, with World Wide
Communications "Holdings) Limited, hereafter known as (WWCH). You will be
employed as Managing Director for WWCH, located at Brecon House, Meridian Gate,
207 Marsh Wall, London, E14 9YT. This will be effective from 1st October 1998
and subject to the following terms:
1a) Your Contract of Employment commences on 1st October, 1998 and will be for
a fixed term of 3 Years and will end on September 30th 2001.
1b) There will be no probationary period.
1c) Your salary will be paid at the rate of [British pound symbol
omitted]65,000 per annum. Salaries are paid monthly in arrears, by credit
transfer directly into your Bank/Building Society account.
2. If the Contract of Employment is terminated by either party before the 3
year period, the full salary and benefits until the end of the fixed term
contract will be payable.
3. You will be eligible for a performance-related bonus; the exact amount of
bonus payable annually will depend on both Individual and Company
performance. As an approximate guide to your first years earnings, if
profitability and performance objectives are met, your on-target bonus will
be approximately 50% of your annual salary in a full year. You will be
provided with full details of your bonus plan by the Company. (Please note
however, that any bonus payment is made entirely at the discretion of board
of directors and will not be paid in whole or part, if for any reason you
are no longer employed by the Company at the time that the bonus is
declared.
4. The Company will provide you with free private health insurance through the
Company's Private Health Insurance Scheme.
5. You will be provided with a Company Car/or Car Allowance as governed by the
rules of the Company Car Scheme. For your information, the current
applicable Car Allowance is (pound)7,500. This includes the cost of
maintenance, insurance and road fund licence.

6. Your basic holiday entitlement in a full year is 25 days per annum. In
addition, in each full calendar year you will be eligible for 8 declared
holidays (public holidays). All holiday dates should be agreed in advance
with the board of directors.
7. The Company holiday year operates from 1st January to 31st December in each
year. If you join the Company after 1st January, you will be allocated
holiday entitlement on a pro-rata basis.
8. You are eligible to join the WWCH Pension Scheme on the 1st day of the
calendar month After your date of joining. Details of the scheme, which is
contributory, are available from The Administration Dept. The normal
retirement age for all staff is 65 years.
9. The payments and arrangements which apply during absence through sickness
(and which apply also during absence due to accident). If at any time
during which you are in receipt of salary payable by the Company, you
become entitled to State Sickness or Injury Benefits, all money to which
you may become entitled in respect of these benefits, will automatically be
deducted from your salary, in such a manner as may be found convenient to,
or otherwise as decided by the company.
10. As a term of employment you may be required to carry out your duties at any
of the Companies current or future offices in the Greater London Area, as
may reasonably be required of you commensurate with Company business
requirements.
11. You must not during the period of your employment or at any time thereafter
whether on your own behalf or as an employee, partner or agent of any other
person or firm use or disclose or allow to be disclosed or used any
information concerning the business dealings, affairs or conduct of the
Company or any of its clients or any other similar matters which may come
to your knowledge in the course of your employment.
12. You will keep the secrets of the Company, its subsidiary companies or any
company, firm or person with whom the Company or any of its subsidiary
companies may at any time during the continuance of your employment be in
commercial or technical co-operation or association. Such undertaking binds
you expressly, both during the period of your employment by the Company and
also at all times after its termination, not to divulge any such secrets to
any unauthorized person or to utilize any secret or confidential knowledge
acquired in consequence of your employment by the Company to the detriment
or prejudice of any of them.
13. It is the nature of the business of the Company that it frequently deals
with confidential or sensitive information in addition to the trade secrets
inherent in its own products. For this reason you must not use materials,
equipment or information which is the property of the Company or any client
of the Company or is entrusted to you by or on behalf of the Company in the
course of your employment otherwise than for the purpose authorized by the
Company.

14. All computer software or other materials written by you or discoveries or
inventions made by you as part of your employment, together with copyright
in such software, written materials inventions or discoveries, shall be the
property of the Company and you shall have no intellectual property rights
in such software, written materials inventions or discoveries.
15. It is the policy of the Company to respect the intellectual property rights
of suppliers of computer software, which is in use on the Companies systems
and you are expected to do the same.
16. In this clause:
i) "Termination Date" means the date on which your employment terminates;
ii) "person" includes any company, firm, organization or other entity.
17a) You covenant with the Company that if your employment terminates for any
reason, you will not, until the date on which the fixed term of your
contract would have expired, be employed by, provide services to or be
concerned in any business which is carried on in the United Kingdom and
which is competitive or likely to be competitive with any business carried
on at the termination date by the Company with which you were actively
involved during the course of your employment during the course of your
employment during the twelve months ending on the termination date.
17b) You covenant with the Company that you will not directly or indirectly on
your own account or on behalf of or in conjunction with any person for a
period of six months after the termination date (except on behalf of the
Company) canvas or solicit business or custom for goods of similar type to
those being manufactured or dealt in or services similar to those being
provided by the Company at the termination date, and with which you were
actively involved in the course of your employment during the twelve months
ending on the termination date, from any person who has been at any time
during the twelve months ending on the termination date a client of the
Company and whom you were actively involved in the course of your
employment during that twelve months.
17c) You covenant with the Company that you will not directly or indirectly on
your own account or on behalf of or in conjunction with any person for a
period of six months after the termination date induce or attempt to induce
any employees of the Company who is employed by the Company at the
termination date, and with whom you, during the twelve months ending on
the termination date, had material dealings in the course of your
employment, to leave the employment of the Company (whether or not this
would be a breach of contract by the employee).
17d) You covenant with the Company that you will not on your own account or on
behalf of or in conjunction with any person for a period of six months from
the Termination Date develop any computer product which would or would be
likely to compete with any goods or products under development or being
sold or marketed by the Company at the termination date and with which you
were actively involved in the course of your employment during the twelve
months ending on the termination date.

17e) Following the termination of your employment you will not represent
yourself as being employed by or associated with the company.
17f) Each of the restrictions in each paragraph or sub-clause above shall be
enforceable independently of each of the other's and its validity shall not
be affected if any of the others is invalid. If any of those restrictions
is void but would be valid if some part of the restriction were deleted,
the restriction in question shall apply with such modification as may be
necessary to make it valid.
17g) you acknowledge that the provisions of the clause are no more extensive
than is reasonable to protect the Company.
18. In many cases isolated minor breaches of discipline are dealt with on an
informal basis. More serious breaches of discipline are dealt with in a
more formal way using the Company Disciplinary Procedure, which has been
devised to ensure that a consistent and fair policy is applied throughout
the Company.
If you are dissatisfied with the disciplinary decision that effects you,
you may appeal to the Board of Directors.
19. Any individual member of staff wishing to raise a question on any matter
affecting his/her own employment should, in the first instance, discuss it
with the person to whom he/she is immediately responsible. If not satisfied
with the outcome of this discussion, he/she may raise the matter with
higher levels of Management.
20. Additional details of terms of employment, will from time to time be
updated, either by individual communication or by information published on
Notice Boards.
21. Subsequent to termination of employment, you shall immediately give up to
the Company all documents, papers, materials and other property belonging
to the Company, and its subsidiary or associate companies, in your
possession or under your control.
22. If you are willing to accept the conditions set out in this letter, we
shall be glad if you will indicate your agreement thereto by signing the
statement at the foot of the enclosed copy of this letter and returning it
to this office.

23. Details of the conditional Offer supersede any statement made during your
interview. In the event of any discrepancy of information between the terms
of this contract and information provided to you orally or in writing at
interview, the terms of this contract shall prevail. No variations to the
terms will be valid unless authorized in writing.

Dear Aaron
We have pleasure in offering you a contract of employment, with World Wide
Communications (Holdings) Limited, hereafter known as (WWCH). You will be
employed as Technical Director for WWCH, with responsibility for the company's
products and services located at Brecon House, Meridian Gate, 207 Marsh Wall,
London, E14 9YT. this will be effective from 1st October, 1998 and subject to
the following terms:
1a) Your Contract of Employment commences on1st October, 1998 and will be for a
fixed term of 3 years and will end on September 30th 2001.
1b) There will be no probationary period.
1c) Your salary will be paid at the rate of [British pound symbol
omitted]65,000 per annum. Salaries are paid monthly in arrears, by credit
transfer directly into your Bank/Building Society account.
2. If the Contract of Employment is terminated by either party before the 3
year period, the full salary and benefits until the end of the fixed term
contract will be payable.
3. You will be eligible for a performance-related bonus; the exact amount of
bonus payable annually will depend on both individual and Company
performance. As an approximate guide to your first year's earnings, if
profitability and performance objectives are met, your on-target bonus will
be approximately 50% or your annual salary in a full year. You will be
provided with full details of your bonus plan by the Company. (Please note
however, that any bonus payment is made entirely at the discretion of board
of directors and will not be paid in whole or part, if for any reason you
are no longer employed by the Company at the time that the bonus is
declared.
4. The Company will provide you with free private health insurance through the
Company's Private Health Insurance Scheme.
5. You will be provided with a Company Car/or Car Allowance as governed by the
rules of the Company Car Scheme. For your information, the current
applicable Car Allowance is (pound)7,500. This includes the cost of
maintenance, insurance and road fund licence.

6. Your basic holiday entitlement in a full year is 25 days per annum. In
addition, in each full calendar year you will be eligible for 8 declared
holidays (public holidays). All holiday dates should be agreed in advance
with the board of directors.
7. The Company holiday year operates from 1st January to 31st December in each
year. If you join the Company after 1st January, you will be allocated
holiday entitlement on a pro-rata basis.
8. You are eligible to join the WWCH Pension Scheme on the 1st day of the
calendar month After your date of joining. Details of the scheme, which is
contributory, are available from The Administration Dept. The normal
retirement age for all staff is 65 years.
9. The payments and arrangements which apply during absence through sickness
(and which apply also during absence due to accident). If at any time
during which you are in receipt of salary payable by the Company, you
become entitled to State Sickness or Injury Benefits, all money to which
you may become entitled in respect of these benefits, will automatically be
deducted from your salary, in such a manner as may be found convenient to,
or otherwise as decided by the company.
10. As a term of employment you may be required to carry out your duties at any
of the Companies current or future offices in the Greater London Area, as
may reasonably be required of you commensurate with Company business
requirements.
11. You must not during the period of your employment or at any time thereafter
whether on your own behalf or as an employee, partner or agent of any other
person or firm use or disclose or allow to be disclosed or used any
information concerning the business dealings, affairs or conduct of the
Company or any of its clients or any other similar matters which may come
to your knowledge in the course of your employment.
12. You will keep the secrets of the Company, its subsidiary companies or any
company, firm or person with whom the Company or any of its subsidiary
companies may at any time during the continuance of your employment be in
commercial or technical co-operation or association. Such undertaking binds
you expressly, both during the period of your employment by the Company and
also at all times after its termination, not to divulge any such secrets to
any unauthorized person or to utilize any secret or confidential knowledge
acquired in consequence of your employment by the Company to the detriment
or prejudice of any of them.
13. It is the nature of the business of the Company that it frequently deals
with confidential or sensitive information in addition to the trade secrets
inherent in its own products. For this reason you must not use materials,
equipment or information which is the property of the Company or any client
of the Company or is entrusted to you by or on behalf of the Company in the
course of your employment otherwise than for the purpose authorized by the
Company.

14. All computer software or other materials written by you or discoveries or
inventions made by you as part of your employment, together with copyright
in such software, written materials inventions or discoveries, shall be the
property of the Company and you shall have no intellectual property rights
in such software, written materials inventions or discoveries.
15. It is the policy of the Company to respect the intellectual property rights
of suppliers of computer software, which is in use on the Companies systems
and you are expected to do the same.
16. In this clause:
i) "Termination Date" means the date on which your employment terminates;
ii) "person" includes any company, firm, organization or other entity.
17a) You covenant with the Company that if your employment terminates for any
reason, you will not, until the date on which the fixed term of your
contract would have expired, be employed by, provide services to or be
concerned in any business which is carried on in the United Kingdom and
which is competitive or likely to be competitive with any business carried
on at the termination date by the Company with which you were actively
involved during the course of your employment during the course of your
employment during the twelve months ending on the termination date.
17b) You covenant with the Company that you will not directly or indirectly on
your own account or on behalf of or in conjunction with any person for a
period of six months after the termination date (except on behalf of the
Company) canvas or solicit business or custom for goods of similar type to
those being manufactured or dealt in or services similar to those being
provided by the Company at the termination date, and with which you were
actively involved in the course of your employment during the twelve months
ending on the termination date, from any person who has been at any time
during the twelve months ending on the termination date a client of the
Company and whom you were actively involved in the course of your
employment during that twelve months.
17c) You covenant with the Company that you will not directly or indirectly on
your own account or on behalf of or in conjunction with any person for a
period of six months after the termination date induce or attempt to induce
any employees of the Company who is employed by the Company at the
termination date, and with whom you, during the twelve months ending on
the termination date, had material dealings in the course of your
employment, to leave the employment of the Company (whether or not this
would be a breach of contract by the employee).
17d) You covenant with the Company that you will not on your own account or on
behalf of or in conjunction with any person for a period of six months from
the Termination Date develop any computer product which would or would be
likely to compete with any goods or products under development or being
sold or marketed by the Company at the termination date and with which you
were actively involved in the course of your employment during the twelve
months ending on the termination date.

17e) Following the termination of your employment you will not represent
yourself as being employed by or associated with the company.
17f) Each of the restrictions in each paragraph or sub-clause above shall be
enforceable independently of each of the other's and its validity shall not
be affected if any of the others is invalid. If any of those restrictions
is void but would be valid if some part of the restriction were deleted,
the restriction in question shall apply with such modification as may be
necessary to make it valid.
17g) you acknowledge that the provisions of the clause are no more extensive
than is reasonable to protect the Company.
18. In many cases isolated minor breaches of discipline are dealt with on an
informal basis. More serious breaches of discipline are dealt with in a
more formal way using the Company Disciplinary Procedure, which has been
devised to ensure that a consistent and fair policy is applied throughout
the Company.
If you are dissatisfied with the disciplinary decision that effects you,
you may appeal to the Board of Directors.
19. Any individual member of staff wishing to raise a question on any matter
affecting his/her own employment should, in the first instance, discuss it
with the person to whom he/she is immediately responsible. If not satisfied
with the outcome of this discussion, he/she may raise the matter with
higher levels of Management.
20. Additional details of terms of employment, will from time to time be
updated, either by individual communication or by information published on
Notice Boards.
21. Subsequent to termination of employment, you shall immediately give up to
the Company all documents, papers, materials and other property belonging
to the Company, and its subsidiary or associate companies, in your
possession or under your control.
22. If you are willing to accept the conditions set out in this letter, we
shall be glad if you will indicate your agreement thereto by signing the
statement at the foot of the enclosed copy of this letter and returning it
to this office.

23. Details of the conditional Offer supersede any statement made during your
interview. In the event of any discrepancy of information between the terms
of this contract and information provided to you orally or in writing at
interview, the terms of this contract shall prevail. No variations to the
terms will be valid unless authorized in writing.
24. This offer is conditional upon the receipt of a signed copy of this
contract.
