Supplement dated August 5, 1996 to Prospectus dated

Effective immediately, the dealer concession applicable for
QUILTS Equity Strategic Ten, Series 2 and QUILTS Equity Strategic Five, Series
2 shall be revised. The amount of Volume Discount and approximate sales charges
remain unchanged. The revised dealer concession, which appears under "Public
Offering - Volume and other Discounts" on page B-8 of the Prospectus, is
amended to read as follows:
