    As a result of various factors, including pending corporate actions
recently disclosed in a Form 8-K filed by the Registrant and the engagement of
new certified public accountants, the Registrant will not be able to file its
Form 10-QSB by the prescribed time without unreasonable effort and expense. The
Registrant will file its Form 10-QSB within the time period permitted by Rule
12b-25 of the Securities Exchange Act of 1934.
