     THE COMPANY'S  FINANCIAL STATEMENTS WERE NOT COMPLETED AND
     COULD NOT BE COMPLETED WITHIN THE PRESCRIBED TIME PERIOD IN ORDER 
     TO PREPARE AN ACCURATE FORM 10-QSB TO FILE WITH THE COMMISSION.
