Due to the fact that the Company completed two significant acquisitions
during fiscal 1998, the Company was unable to finalize purchase accounting
adjustments necessary to complete its financial statements and timely file its
report on Form 10-Q.

Due to material changes in the Company's operations, including two
significant acquisitions, the Company anticipates a significant change in its
results of operations from the corresponding period in the prior fiscal year.
Because purchase accounting has not been finalized, the Company is unable to
estimate these results.
