through his spouse.
(b) John McCusker was granted employee stock options upon employment by the
Issuer. 10,000 shares became exercisable on 11/05/98, and 10,000 shares
become exercisable on each of 11/05/99, 11/05/00, 11/05/01 and 11/05/02.
