Each of the Reporting Persons is the direct beneficial owner of
the number of shares of Class B Common Stock and Class A Common
Stock, if any, listed beside such person's name as set forth on
Schedule A hereto.

The Company, the Reporting Persons and certain other parties had
previously entered into an agreement (the "Stockholders Agreement") dated
August 13, 1996, which provided, among other things, that the parties vote
their shares of Class A Common Stock and Class B Common Stock (collectively
"Common Stock") in a specified manner with respect to the election of
directors.
As members to the Stockholders Agreement, each of the Reporting
Persons could have been deemed to be a beneficial owner of the aggregate
number of shares held by all parties to the agreement. As of July 1, 1997,
each of the Reporting Persons ceased to be a party to the Stockholders
Agreement. As such, no attribution of beneficial ownership could result
under Section 13(d) of the Exchange Act.
