Because of the time demands caused by the recent blowout of a well in which
the Company has an interest (see the Company's Form 8-K filed November 24, 1998)
and the private placement of convertible promissory notes (see the Company's
Form 8-K filed October 28, 1998), the Company's Annual Report on Form 10-KSB for
the year ended August 31, 1998 could not be timely filed without unreasonable
effort or expense.

The Company currently estimates that for the year ended August 31, 1998 it
incurred a net loss of approximately $100,000 as compared with a net loss of
$57,825 for the eight months ended August 31, 1997. The increased loss reflects
the longer reporting period for 1998 and the increased operations of the Company
during the 1998 period.
