This Amendment No. 1 amends and supplements the Tender Offer Statement on
Schedule TO (the "Schedule TO") originally filed on June 28, 2000, relating to
the offer by Odyssey Acquisition Corp., a Delaware corporation ("Purchaser")
and a wholly owned subsidiary of Kaplan, Inc., a Delaware corporation
("Parent"), to purchase all of the outstanding shares of Common Stock, par
value $0.01 per share (the "Shares"), of Quest Education Corporation, a
Delaware corporation (the "Company"), together with the associated rights (the
"Rights") to purchase Series A Junior Participating Preferred Stock, par value
$0.01 per share, issued pursuant to the Preferred Share Purchase Rights Plan
Rights Agreement dated as of May 14, 1999, (as amended from time to time, the
"Rights Agreement"), between the Company and First Union National Bank, at a
purchase price of $18.35 per Share, net to the seller in cash, without
interest thereon, upon the terms and subject to the conditions set forth in
the Offer to Purchase dated June 28, 2000 (the "Offer to Purchase"), and in
the related Letter of Transmittal filed with this Schedule TO as Exhibits
(which together with any amendments or supplements thereto, collectively
constitute the "Offer"). Capitalized terms used and not defined herein shall
have the meanings assigned to such terms in the Offer to Purchase and the
Schedule TO.
Items 1 through 9 and 11.
Items 1 through 9 and 11 of the Schedule TO, which incorporate by reference
the information contained in the Offer to Purchase, are hereby amended by
adding to the second paragraph (under the caption "Terms of the Offer;
Expiration Date") of Section 1 of the Offer to Purchase and the third
paragraph (under the caption "Certain Conditions of the Offer") of Section 14
of the Offer to Purchase the following sentence:
The Purchaser and the Parent shall determine, in their reasonable judgment,
whether any such conditions exists.
Item 4: Terms of the Transaction.
Item 4 of the Schedule TO is hereby amended by adding to the end of the
fourth paragraph (under the caption "Terms of the Offer; Expiration Date") of
Section 1 of the Offer to Purchase the following sentence:
All conditions to the Offer, other than necessary government approvals,
will be satisfied or waived prior to the expiration of the Offer.
Item 11: Additional Information.
Item 15 of the Schedule TO is hereby amended by adding to the end of the
sixth paragraph (under the caption "Antitrust") of Section 15 of the Offer to
Purchase (under the caption "Certain Legal Matters and Regulatory Approvals")
the following sentence:
The required waiting period with respect to the Offer and the Merger under
the HSR Act expired at 11:59 p.m., Eastern time, on July 13, 2000.
